A 64-Bit OS won't boot on a 32-Bit processor, it'll come up with an error about the architecure being wrong... however a 32-Bit OS will work on a 64-bit CPU, at least an AMD64 compatible CPU (pretty much most CPUs that AMD and Intel release these days).
