When vmware starts it show the host hetwork adaptor as running & active but
I can't connect to it.

At a guess, I'd say that it's a conflict of Encypted/Non-encrypted passwords.

Your options are to either enable encrypted passwords in Samba in smb.conf or to disable them in Win98. You can do this in Win98 using a registry patch which I could probably dig out if you want to give it a go.
